This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and ExceLife ("Company," "We," or "Us") for the use of the ExceLife family social networking platform, including any associated software, mobile applications, and online services (collectively, the "Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.
Subject to your compliance with this EULA, ExceLife grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for personal, non-commercial purposes in connection with maintaining your family network.

Company Ownership: The Software and all intellectual property rights therein are and shall remain the exclusive property of ExceLife and its licensors. This EULA does not grant you any ownership rights to the Software. All trademarks, service marks, trade names, and logos used in connection with the Software are the property of ExceLife or their respective owners.
User Content: You retain ownership of all content you create, upload, or share through the Software. However, by using the Software, you grant ExceLife a limited license to use, store, and display your content as necessary to provide the service.
ExceLife may from time to time provide updates, upgrades, or modifications to the Software. These updates may be automatically downloaded and installed. You acknowledge that ExceLife may update the Software without providing notice to you. Updated versions of the Software shall be subject to this EULA unless accompanied by a separate license agreement. We reserve the right to modify or discontinue the Software at any time.
Your use of the Software is subject to our Privacy Policy, which is incorporated into this EULA by reference. The Software may collect and transmit certain data about your use of the Software, including technical information about your device, as described in our Privacy Policy. By accepting this EULA, you consent to such data collection and transmission.
The Software may integrate with or provide access to third-party services, websites, or content. ExceLife is not responsible for such third-party services or content. Your use of third-party services may be subject to separate terms and conditions and privacy policies. We recommend reviewing these before use.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permissible under applicable law, ExceLife disclaims all warranties, express or implied, including but not limited to:
You acknowledge that your use of the Software is at your sole risk and that you are solely responsible for any damage to your device or loss of data that results from such use.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXCELIFE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
This limitation applies even if ExceLife has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, ExceLife's liability shall be limited to the maximum extent permitted by law.
ExceLife's total liability to you for all claims arising from or related to this EULA or the Software shall not exceed the amount you paid to ExceLife for the Software in the twelve (12) months preceding the claim, or $100, whichever is greater.
You agree to indemnify, defend, and hold harmless ExceLife, its affiliates, officers, directors, employees, consultants, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Software; (b) your violation of this EULA; (c) your violation of any rights of another party; or (d) your violation of any applicable laws or regulations.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. ExceLife may also terminate this EULA at any time with or without cause.
Upon termination, you must cease all use of the Software and delete all copies of the Software from your devices. Sections of this EULA that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.
The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
This EULA shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA shall be brought exclusively in the courts located in Florida, and you hereby consent to personal jurisdiction and venue therein.
This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and ExceLife regarding the Software and supersedes all prior agreements and understandings. ExceLife reserves the right to modify this EULA at any time. We will notify you of material changes by posting the updated EULA on our website or through the Software. Your continued use of the Software after such modifications constitutes your acceptance of the updated EULA.
If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this EULA shall otherwise remain in full force and effect. ExceLife's failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
